Terms and Conditions
The small print, simplified.
1. Definitions
“SLP” is samlane photography, the photography brand of samlane Limited, a company registered in England (Company Number: 08605563). It also refers to any Photographer working under that brand name for the Client on behalf of samlane Limited.
“The Client” is an individual, company or third party entering into a contractual arrangement with SLP
“Photographs” – means all photographic material furnished by SLP including physical prints, digital and electronic images.
2. Copyright and Ownership
The entire copyright of the Photographs is retained by samlane Limited and, where appropriate, the relevant Photographer(s) carrying out the work for SLP.
3. Licence to Use and Coverage
SLP grants the Client the licence to use the Photographs within the UK for one calendar year from confirmation of contract unless otherwise agreed. SLP reserves the right to charge for additional years, countries and multiple use.
4. Client Confidentiality
Commercial photography work performed by SLP under this agreement is deemed Client Confidential and will not be shared externally without written permission from the Client. SLP may ask for Case Studies and/or Testimonials and present images on the Websites and other promotional vehicles and will seek permission in writing where appropriate.
5. Indemnity
SLP agrees to indemnify the Client against all expenses, damages, claims and legal costs arising out of any failure by SLP to obtain clearances for which he or she was responsible in respect of Third Party copyright works, trademarks, designs or other intellectual property. SLP shall only be responsible for obtaining such clearances if this has been expressly agreed before the shoot. In all other cases the Client shall be responsible for obtaining such clearances and shall indemnify the Photographer against all expenses, damages, claims and legal costs arising out of any failure to obtain such clearances.
6. Force Majeure
This agreement is subject to alteration or cancellation due to a Force Majeure Event. A Force Majeure Event means an event beyond the control of a party, which by its nature could not have been foreseen or, if it could have been foreseen, was unavoidable, and includes, without limitation, acts of God, storms, floods, riots, fires, sabotage, civil commotion or civil unrest, interference by civil or military authorities, acts of war or armed hostilities or other national or international calamity or one or more acts of terrorism or failure of energy sources. For the avoidance of doubt, it does not include circumstances where SLP attends an assignment to perform the Photography and any of the Parties fail to attend.
7. The General Data Protection Regulations
SLP takes GDPR compliance seriously and will work with Clients and Third Parties to ensure all the agreed processes are in place for all commissioned work. See the GDPR Policy.
8. Payment
Unless otherwise agreed in writing, SLP payment terms are strictly 30 days from date of invoice. Pre-payment may be required for new Clients. SLP reserves the right to charge late payment charges.
9. Changes to Brief
The quotation or brief as outlined in writing and agreed by the Client should include all elements of the photography assignment as required. SLP reserves the right to charge additional expenses if the Client changes the brief on or after the photography assignment.
10. Complaints
Complaints or dissatisfaction with the Photographs should be made in writing by the Client and SLP will seek to resolve amicably either by re-doing the assignment free of charge or not charging for the assignment.
11. Cancellation and Postponement
A booking is considered firm as from the date of confirmation in writing. SLP reserves the right to charge a fee for cancellation or postponement depending on the amount of notice given.
12. Supply to Third Parties
Photographs provided to the Client can be shared with Third Parties if they are an existing agency or partner of the Client. If there are new enquiries to the Client for use of the Photographs, then permission should be sought before allowing access. SLP reserves the right to charge a licence fee to the Third Party.
13. Applicable Law
This agreement is governed by the laws of England and Wales.
